Please read these terms carefully before using Sumasu.

Effective Date: 23 March 2026

1. Introduction

These Terms and Conditions (“Terms”) govern your access to and use of Sumasu, an AI-powered business management platform operated by Neonflake Enterprises OPC Pvt Ltd (“Company”, “we”, “us”, or “our”), a company incorporated under the laws of India with its registered office in Bengaluru, Karnataka.

By creating an account, accessing the platform at sumasu.co, or using any of our services — including the mobile interface, APIs, embeddable widgets, and WhatsApp integrations — you (“User”, “you”, or “your”) agree to be bound by these Terms. If you are entering into these Terms on behalf of a business entity, you represent that you have the authority to bind that entity.

If you do not agree with any part of these Terms, you must not use Sumasu.

2. Definitions

• “Platform” means the Sumasu web application, mobile interface, APIs, embeddable lead generation widget, WhatsApp integrations, and all related services.
• “AI Workers” means the artificial intelligence modules available on the Platform, including but not limited to Accounts AI, Lead Gen AI, Business Advisor AI, Social Media AI, Sales AI, and Talent AI.
• “Tokens” means the usage credits consumed when an AI Worker performs an action on your behalf.
• “Company Account” means the registered business account created on Sumasu, which may include multiple user seats.
• “CA” means a Chartered Accountant invited by a User to access read-only business data through the Platform.
• “Widget” means the embeddable JavaScript chat widget that can be placed on your website to qualify leads.
• “Content” means any data, text, files, invoices, documents, images, or information you upload, create, or generate using the Platform.

3. Eligibility

To use Sumasu, you must be at least 18 years of age, legally capable of entering into a binding agreement under Indian law, and possess a valid GSTIN if you intend to use GST-related features. Sumasu is designed for Indian micro, small, and medium enterprises (MSMEs). Use by entities outside India is not currently supported.

4. Account Registration & Security

You must provide accurate and complete information during registration, including your business name, GSTIN, email address, and phone number. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You must notify us immediately at hello@sumasu.co if you suspect any unauthorised access to your account. We reserve the right to suspend or terminate accounts if we detect suspicious activity, fraudulent information, or violations of these Terms.

Each Company Account may invite additional users (employees) and a Chartered Accountant. You are responsible for the actions of all users who access your Company Account.

5. Services & AI Workers

Sumasu provides AI-powered business tools through specialised AI Workers. The following AI Workers are currently active or planned:

• Accounts AI — GST-compliant invoicing, expense tracking, bank reconciliation, GSTR-1 and GSTR-3B preparation, P&L and Balance Sheet reports, Document AI for vendor bill extraction, proforma invoices, e-invoice (IRN) generation, and CA collaboration.
• Lead Gen AI — Embeddable website chat widget that qualifies visitors, assigns Hot/Warm/Cold scores, and delivers instant alerts via WhatsApp, email, and in-app notifications.
• Business Advisor AI — Daily strategy briefs delivered at 8:30 AM on WhatsApp with market signals, revenue impact analysis, and actionable recommendations personalised to your business.
• Social Media AI (Coming Soon) — Post and caption generation, content calendars, hashtag research, and campaign planning.
• Sales AI (Coming Soon) — CRM pipeline management, automated follow-ups, and sales forecasting.
• Talent AI (Coming Soon) — Job descriptions, candidate shortlisting, interview question generation, and onboarding preparation.

We reserve the right to modify, enhance, discontinue, or introduce new AI Workers at any time. Features marked “Coming Soon” are not guaranteed and may change before release.

6. Token System

Sumasu operates on a token-based usage model. Each AI action consumes a specific number of tokens. Viewing, filtering, searching, and downloading are always free and do not consume tokens.

Token costs per action: Invoice created via voice/text (5 tokens), Document AI extraction (12 tokens), GSTR-1/GSTR-3B generated (8 tokens), P&L or Balance Sheet report (5 tokens), E-invoice IRN (4 tokens), Proforma created (3 tokens), Lead scored via widget (5 tokens), Invoice sent via WhatsApp (2 tokens), and other actions as published on our pricing page.

Token costs are subject to change. Any changes to token costs will apply to future actions only and will not retroactively affect previously consumed tokens. We will provide reasonable notice of material changes to token costs via email or in-app notification.

7. Plans & Pricing

Sumasu offers the following subscription plans:

• Free — ₹0/month, 100 tokens (reset monthly, no rollover), 1 user, email support.
• Growth — ₹999/month, 1,500 tokens, 1 user included, lead alerts, employee add-ons at ₹500/person/month, extra tokens at ₹2.00 each.
• Pro — ₹1,999/month, 4,000 tokens, 3 users included, priority support, employee add-ons at ₹500/person/month, extra tokens at ₹1.50 each.
• Scale — ₹3,499/month, 8,000 tokens, 5 users included, employee add-ons at ₹500/person/month, extra tokens at ₹1.20 each.

Annual plans are available at a 20% discount. Unused tokens on paid plans roll over indefinitely. Tokens on the Free plan reset at the beginning of each calendar month.

We reserve the right to revise pricing with at least 30 days’ prior notice. Existing subscribers will continue on their current pricing until the end of their active billing cycle.

8. Payments

All payments are processed securely through Razorpay. We accept UPI (Google Pay, PhonePe, Paytm, BHIM), credit cards, debit cards, net banking, and digital wallets. All prices are in Indian Rupees (INR) and are exclusive of applicable GST unless otherwise stated.

Subscriptions are billed in advance on a monthly or annual basis. By subscribing to a paid plan, you authorise us to charge your chosen payment method at the beginning of each billing cycle. Failed payments may result in temporary suspension of services until payment is resolved.

9. Cancellation & Downgrades

You may cancel your subscription at any time from your account settings. Upon cancellation, your paid plan benefits will continue until the end of the current billing cycle. After that, your account will revert to the Free plan.

Downgrades take effect at the start of the next billing cycle. If your token balance exceeds the new plan’s monthly allocation at the time of downgrade, your existing tokens will be preserved.

10. Intellectual Property

Our Property: The Platform, its design, source code, AI models, algorithms, brand name, logo, documentation, and all related intellectual property are the exclusive property of Neonflake Enterprises OPC Pvt Ltd. You may not copy, modify, distribute, sell, or reverse-engineer any part of the Platform.

Your Content: You retain full ownership of all Content you upload or create using Sumasu. By using the Platform, you grant us a limited, non-exclusive licence to process your Content solely for the purpose of providing the Services. We will never sell, share, or use your Content for purposes unrelated to delivering the Services.

11. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose or to facilitate illegal activities.
• Generate fraudulent invoices, false GST returns, or misleading financial documents.
• Attempt to reverse-engineer, decompile, or extract the source code of the Platform or its AI models.
• Interfere with, disrupt, or attempt to gain unauthorised access to the Platform or its infrastructure.
• Use automated scripts, bots, or scrapers to access the Platform beyond its intended interfaces.
• Share your account credentials with any unauthorised third party.
• Upload malicious files, malware, or content that infringes third-party intellectual property rights.
• Misuse the Lead Gen AI widget to collect personal information in violation of applicable data protection laws.

12. AI-Generated Content Disclaimer

Sumasu uses artificial intelligence to generate invoices, reports, lead scores, strategy briefs, and other business outputs. While we strive for accuracy, AI-generated content may contain errors, inaccuracies, or omissions. You are solely responsible for reviewing and verifying all outputs before relying on them for financial, legal, tax, or business decisions.

Sumasu does not provide professional accounting, legal, tax, or financial advice. GST calculations, GSTR returns, and financial reports generated by the Platform are for informational and convenience purposes only. You should consult a qualified Chartered Accountant or professional advisor for compliance and filing decisions.

13. Third-Party Services

The Platform integrates with third-party services to deliver its features. These include Razorpay for payments, Sarvam AI for Indian-language speech processing, Twilio and Gupshup for WhatsApp notifications, SendGrid for emails, and Masters India for e-invoice (IRN) generation. Your use of these services is also subject to their respective terms and conditions.

We are not responsible for outages, errors, or service disruptions caused by third-party providers. We monitor all integrations and will notify you of any known extended disruptions.

14. Service Availability

We aim to maintain high availability of the Platform but do not guarantee uninterrupted or error-free service. Scheduled maintenance will be communicated in advance where feasible. We shall not be liable for any loss or damage resulting from downtime, whether scheduled or unscheduled.

15. Limitation of Liability

To the maximum extent permitted by applicable law, Neonflake Enterprises OPC Pvt Ltd and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of Sumasu, including but not limited to loss of profits, revenue, data, or business opportunities.

Our total aggregate liability for any claim arising from or related to these Terms or the Platform shall not exceed the amount you paid to us in the 12 months preceding the claim.

16. Indemnification

You agree to indemnify and hold harmless Neonflake Enterprises OPC Pvt Ltd, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Platform, your violation of these Terms, your Content, or your infringement of any third-party rights.

17. Data & Privacy

Your use of Sumasu is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your data. By using the Platform, you consent to the practices described in the Privacy Policy.

18. Termination

We may suspend or terminate your account at our sole discretion if you violate these Terms, engage in fraudulent activity, or fail to maintain a valid payment method on a paid plan. Upon termination, your right to access the Platform ceases immediately.

You may request deletion of your account and all associated data by writing to hello@sumasu.co. We will process such requests within 30 days, subject to any legal or regulatory obligations to retain certain records.

19. Modifications to Terms

We may update these Terms from time to time. Material changes will be communicated via email or prominent notice on the Platform at least 15 days before they take effect. Your continued use of Sumasu after the effective date of any changes constitutes acceptance of the updated Terms.

20. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka.

Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation. If negotiation fails, either party may seek resolution through arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Bengaluru.

21. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

22. Entire Agreement

These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and Neonflake Enterprises OPC Pvt Ltd regarding the use of Sumasu.
